Corporate Finance

This course studies the financing of corporations. It emphasizes legal and economic issues affecting investors that supply capital to the corporation and share in the corporation's earnings, principally by holding debt instruments, preferred stock or common stock. After a brief introduction to financial economics and the mechanics of corporate control transactions, it focuses on two main areas: (1) legal rights and relationships between debt holders, equity holders, and corporate management; and (2) mergers, acquisitions and other change of control transactions. This course differs from a course on corporate finance in a business school in that it is focused principally on legal issues, but finance economics concepts will be used to shed light on the legal issues involved.
