Secured Transactions

A survey of commercial lending transactions, with particular emphasis on Article 9 of the Uniform Commercial Code, consumer legislation, relationship to real estate mortgage transactions, relationship to bankruptcy problems, fraudulent conveyances, federal tax liens, etc.

Faculty comments: Professor McJohn: Secured Transactions law provides the basic legal framework in the United States for transactions and investments, from consumer transactions to corporate finance. This course covers Article 9 of the Uniform Commercial Code, which provides the basic law for finance in the United States. The course addresses how parties can use personal property as collateral in financing, so it covers transactions from automobile purchase to financing of corporations to start-up companies. The course provides a basic background in finance law, with practical aspects that crop up in every area of law practice. The class combines discussion of the legal materials and problem analysis, with class slides that provide an outline of the material, with some images related to the cases and problems. Class participation is not graded. There is an exam, which may vary in format from year to year.
