COURSE DESCRIPTIONS

Non-Profit Organizations
Ms. Elisabeth Medvedow
3 credits day; 3 credits evening.

This course will address the legal regulation of nonprofit organizations from the perspective of state and federal tax law, with equal emphasis to theoretical, doctrinal and practical planning issues. Topics to be covered include: theoretical rationales for the nonprofit sector and federal tax benefits; formation and dissolution of nonprofit corporations and charitable trusts; operations and governance, including the legal duties and liabilities of directors and trustees; requirements to qualify and maintain federal tax-exempt status; the distinction between public charities and private foundations; the tax consequences of business and investment activities of nonprofits; basic charitable giving strategies; and regulation of charitable solicitation. Final Exam (Open Book).
