Closely Held Business Organizations and Their Principals (Advising)

2 credits day; 2 credits evening.
Closely held business situations present unique challenges for lawyers. This course will examine issues frequently encountered in advising closely held businesses and their principals and will provide a skills-oriented practice opportunity for students to engage in simulated client counseling involving real life situations.
Areas of study will include issues of co-ownership, fiduciary duties and conflict of interest; issues between differently situated owners (e.g., owners involved in business operation and passive owners; original owners and successor owners); restrictive agreements and agreements regarding entity governance; the lawyer's role in business planning for the enterprise, and in personal planning for owners- and how the goals of the enterprise and of the owners may conflict; planning for transition of management and/or disposition of ownership of the enterprise; and complications presented in family-owned business situations.
Prerequisite: Completion of or concurrent enrollment in either Corporations or Agency, Partnership & the LLC is required.
